Terms of service

The terms that apply when you order and use Wickerz services. Please read them before you order.

1. Scope and provider

These terms of service (“Terms”) apply to the website wickerz.com (“Website”) and to all services that BT2 Technology Solutions LTD (“Wickerz”, “we”, “us” or “our”) provides through it (“Services”) to you (“Customer”, “you” or “your”). Wickerz is a brand of BT2 Technology Solutions LTD.

Our acceptable use policy and our service level agreement form part of these Terms. Your own terms and conditions do not apply, even if we do not object to them, unless we have agreed to them in writing.

Our Services are aimed mainly at consumers. Where these Terms give consumers particular rights, they apply to anyone who orders for purposes outside their trade, business or profession.

2. Definitions

  • Service: a server, virtual server, web hosting plan, proxy, IP address or other product you order from us, as specified on the product page at the time of your order.
  • Billing period: the time a single payment covers, one month or three months, as chosen at checkout.
  • Paid period: the billing period(s) you have paid for. The first paid period starts on the day we hand the Service over to you.
  • Customer area: the part of the Website where you see your Services, access details, renewals and receipts.

3. Customer account

You must be at least 18 years old to order. Your customer account is created when you place your first order and becomes usable with your first payment; there is no separate registration. We send you a link to choose a password.

You are responsible for keeping your password and the access details of your Services secret and for everything that happens under your account. Tell us immediately if you suspect misuse. Please keep your contact details accurate: we send access details, reminders and important notices to the email address of your account. Providing false information may lead to the closure of your account.

4. Conclusion of the contract

The product pages on the Website are an invitation to order, not a binding offer. By completing the checkout you make an offer to conclude a contract for the selected Service. The contract is concluded when your payment has been confirmed by your bank and accepted by our payment provider, and we confirm the order by email.

We may decline an order, for example if the requested resources are not available, if information is missing or wrong, or if there are signs of fraud or misuse. In that case any amount paid is refunded in full. For orders that appear to carry a high risk, we may ask for proof of identity and of the card used before we accept them.

5. Services and delivery

The scope of each Service is defined by the specification shown on the product page when you order, which we also store with your order. We may replace hardware components with equivalent or better ones.

Our team sets each Service up by hand after payment. We deliver within 24 hours of receiving your payment: we email you when the Service is ready, and the access details are available in your customer area. Custom configurations can take longer; if they do, we tell you before you pay or as soon as we notice.

6. Prices and payment

  • All prices are final prices and include value added tax (VAT) and any other sales tax. For consumers in the European Union, the receipt shows the VAT of their member state contained in the price, determined by the billing address given at checkout.
  • Prices are shown in US dollars or euros; you pay in the currency shown at checkout. The amount for the whole billing period is due in advance.
  • We accept Visa and Mastercard credit and debit cards. Card details are encrypted in your browser by our payment security provider, and your bank confirms every payment with 3-D Secure before it is charged. Payments are processed by our payment service provider. We do not store your card.
  • If a payment is reversed or charged back without good reason, we may suspend the affected Services until the amount has been settled.
  • We may change our prices at any time. A change only applies to billing periods you pay for after the change; it never affects a period you have already paid.

7. Billing periods and renewal

There are no subscriptions. Each payment covers exactly one billing period. Nothing renews automatically and no payment method is kept for later charges.

Before a paid period ends we remind you by email. If you want to keep the Service, you renew it yourself, from your customer area or from the link in the reminder, by paying for the next billing period. Each renewal continues from the end of the current paid period, so renewing a few days early or late does not change your dates.

8. End of a Service

If you do not renew, the Service ends at the end of the paid period. You do not need to cancel anything. We keep the Service available for a grace period of 3 days, during which you can still renew it. After that the Service is switched off and the data stored on it is deleted. Please copy everything you need before the paid period ends.

You can ask us to end a Service before its paid period ends by writing to [email protected]. Amounts already paid are not refunded, except where you exercise a statutory right (see section 9), where we fail to deliver the Service, or where the law requires it.

We may end a Service with a notice of 30 days to the end of a paid period, for example when a product is discontinued; you then receive a proportionate refund for any time paid beyond that date. Our right to end a contract immediately for good cause, such as a serious breach of these Terms, remains unaffected.

9. Right of withdrawal for consumers

If you are a consumer in the European Union, you have the right to withdraw from the contract within 14 days without giving any reason. The withdrawal period starts on the day the contract is concluded. To withdraw, send us a clear statement, for example by email to [email protected], before the period has ended.

Because we set up Services within 24 hours, you expressly ask us at checkout to start providing the Service before the withdrawal period has ended. If you withdraw after that, you pay a proportionate amount for the Service provided until you told us of your withdrawal; we refund the rest within 14 days, using the same means of payment.

10. Your obligations

  • Use the Services only in compliance with applicable law and our acceptable use policy.
  • Keep the software you run on your Services up to date and secured, and choose strong passwords. You are responsible for everything that happens on your Services, including through compromised systems and through your own users and customers.
  • Change the passwords we hand over to you after your first login.
  • Respond to our enquiries about abuse reports concerning your Services within a reasonable time.

11. Prohibited uses

You may not use the Website or the Services (a) for any unlawful purpose or to encourage others to act unlawfully; (b) to infringe the intellectual property or other rights of others; (c) to harass, threaten, defame or discriminate against anyone; (d) to send spam or to phish; (e) to distribute malware or to attack, scan or disrupt other systems; (f) to submit false or misleading information; or (g) to circumvent the security of the Website, the Services or other networks. The acceptable use policy describes in detail what is and is not allowed on our network.

12. Suspension

We may temporarily suspend a Service, or individual addresses, if this is necessary to prevent harm to our network, to other customers or to third parties; for example during an attack that threatens the stability of the network, if a Service has been compromised, or in case of a serious breach of these Terms or the acceptable use policy. Where possible we inform you in advance, and otherwise without delay. We lift the suspension as soon as the reason no longer applies. A suspension for reasons within your responsibility does not extend the paid period.

13. Data and backups

Unless you have ordered a storage or backup service, you are responsible for backing up the data on your Services. We recommend keeping at least one copy outside the Service it was created on. Where we process personal data on your behalf, we do so as described in our privacy policy and, on request, under a data processing agreement.

14. Availability

Our availability commitment and the credits you receive if we miss it are set out in the service level agreement. Planned maintenance is announced by email in advance where it may affect your Service.

15. Intellectual property

The Website, the Wickerz name and logo and all content we publish remain ours or our licensors'. These Terms do not grant you any right to use them beyond using the Website and the Services as intended. Content you store on your Services remains yours; you grant us only the rights we need to provide the Services.

16. Warranty

We provide the Services with care and as described in their specification. Statutory warranty rights apply. Beyond that, and to the extent permitted by law, we do not warrant that the Services are suitable for a particular purpose, uninterrupted or free of errors.

17. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, and where mandatory law provides for liability, in particular product liability law. For slight negligence we are liable only for the breach of essential contractual obligations, meaning obligations whose fulfilment makes the proper performance of the contract possible in the first place and on which you may rely, and limited to the damage typical for this kind of contract and foreseeable when it was concluded. In that case our liability is limited to the amount you paid for the affected Service in the twelve months before the event giving rise to the claim. We are not liable for the loss of data that would not have occurred had you kept appropriate backups.

18. Indemnification

If third parties assert claims against us because of content you store or activity you carry out on the Services in breach of these Terms or the law, you indemnify us against those claims, including reasonable costs of legal defence, unless you are not responsible for the breach.

19. Changes to these Terms

We may update these Terms, for example to reflect new Services or changes in the law. The version published when you pay for a billing period applies to that period. We inform customers with active Services of material changes by email before they take effect.

20. Governing law and courts

These Terms and any dispute arising out of or in connection with them are governed by the laws of Cyprus, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice of law does not deprive you of the protection of the mandatory provisions of the law of the country in which you have your habitual residence.

The courts of Cyprus have jurisdiction over disputes arising out of or in connection with these Terms. If you are a consumer, you may also bring proceedings in the courts of the country in which you live, and we may bring proceedings against you only in those courts.

We are neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board. We are always happy to resolve concerns directly; just write to us.

21. Final provisions

If a provision of these Terms is or becomes invalid, the remaining provisions remain in effect. Communication is in English. You may not transfer your rights under the contract to third parties without our consent.
